1. Definitions
1.1 “Ironstone” means Ironstone Design, a sole proprietorship carrying on business in the Province of Ontario, Canada, reachable at contact@ironstonedesign.com.
1.2 “Seller” means a person or business that holds an Account and sells Sites to Clients through a Storefront.
1.3 “Client” means a business that buys a Site from a Seller.
1.4 “Account” means the seller account opened at app.ironstonedesign.com.
1.5 “Storefront” means the Seller’s public page on mysiteslive.com or on a domain connected to the Account, which carries the Seller’s name and prices.
1.6 “Site” means a website built from an Ironstone template for a Client and hosted by Ironstone.
1.7 “Preview” means an unlisted draft Site built for a business before that business becomes a Client.
1.8 “Plan” means one of the Free, Launch, Growth and Agency subscriptions published on the pricing page at ironstonedesign.com/pricing/.
1.9 “Site Fee” means the monthly fee Ironstone charges for each live Site: $15 for Simple, $25 for Advanced and $40 for Professional, per month, billed monthly. No Site Fee is charged during a Seller’s trial: a Site Fee begins on the later of the day the Site goes live and the first charge date of the trial (day 15).
1.10 “Services” means the Storefront, the templates, the builder, the hosting of Sites and Previews, the business lookup, the outreach tools and the billing that Ironstone provides.
1.11 “Agreement” means these terms together with the Seller Agreement, the Acceptable Use Policy, the Privacy Policy, the Cancellation Policy and the prices published on the pricing page on the date of each charge.
2. Accounts and sign-in
2.1 An Account opens with an email address. Sign-in uses a single-use link sent to that address, valid for fifteen (15) minutes, which starts a session of thirty (30) days.
2.2 The holder of an Account shall be at least eighteen (18) years old, shall give accurate details, and is responsible for every action taken under the Account.
2.3 One Account represents one person or one business. Ironstone may refuse or close an Account opened to avoid a limit, a fee or a suspension.
3. The Services
3.1 Ironstone shall provide the Services described on the Plan the Seller holds, as published on the pricing page.
3.2 Ironstone may add, change or retire a feature of the Services. A change that removes a paid feature takes effect only after thirty (30) days’ notice by email and in the changelog at ironstonedesign.com/changelog/.
3.3 Ironstone is in private beta. Ironstone takes a charge described in the Agreement only after the switch to live payments.
4. Plans, the trial and billing
4.1 The Plan prices are $19 per month, billed monthly for Launch, $49 per month, billed monthly for Growth and $149 per month, billed monthly for Agency, stated in United States dollars. The Free Plan carries no Plan fee and allows up to 3 (3) live Sites.
4.2 The Ironstone trial lasts 14 days and requires a card. Ironstone charges the card $19, $49 or $149 for the selected plan on day 15 unless the Seller cancels before then. Site fees start on day 15, or on the day a site goes live if that is later. Ironstone emails a reminder 7 days before the first charge. The Seller can cancel online from Settings > Billing, and cancellation takes effect at the end of the paid period.
4.3 Ironstone shall confirm the trial by email at enrollment, stating its length and the first charge date, and shall send the reminder with a cancellation link 7 (7) days before the first charge.
4.4 Annual billing gives 12 months for the price of 10. An annual Plan renews after twelve (12) months, and Ironstone shall send a renewal notice 30 (30) days before the renewal charge.
4.5 A failed Plan payment is retried on days 3 and 7 after the first attempt. If the payment still fails on day 14, the Account moves to the Free Plan, and every Client Site stays live.
4.6 Prices exclude taxes. Ironstone shall add the taxes that apply to its invoices once registered to collect them, and shall show its registration number on each invoice.
5. Site Fees and Client payments
5.1 A Site Fee applies to each live Site, per month, billed monthly, from the later of the day the Site goes live and, for a Seller in a trial, the first charge date of the trial (day 15). A Seller with 50 or more live Sites receives a 10% reduction on every Site Fee.
5.2 The first build of every Site uses no Credits.
5.3 The Seller is the merchant of record for every Client payment. Ironstone’s fee on each Client payment is the Site Fee plus card processing of 2.9% of the payment plus 30ยข, and the Seller receives the remainder, as the Seller Agreement sets out.
6. Credits and lookups
6.1 Each Plan includes AI credits each month: 25 on Free, 150 on Launch, 600 on Growth and 2,500 on Agency. A pack of 100 credits costs $5, one time.
6.2 Each business returned by the lookup uses one (1) lookup credit, once per calendar month. A pack of 100 lookups costs $9 and a pack of 500 costs $29, one time.
6.3 Credits and lookup credits end with the calendar month in which they were granted or bought. One Site may use at most 200 credits in a day, and Ironstone may set a daily limit per Account.
7. Content and licenses
7.1 Content a Seller or a Client supplies remains the property of the person who supplied it. The supplier grants Ironstone a license to host, copy, display and process that content for the purpose of providing the Services.
7.2 The templates, the code, the builder and the platform are and remain the property of Ironstone. Ironstone grants the Seller a non-exclusive, non-transferable license, for as long as the Account stays open, to use the templates to provide Sites to Clients.
7.3 Text and images produced by the model are drafts. The Seller shall review every draft before a Site, a Preview or an email carrying it is published or sent.
8. Acceptable use
8.1 The Seller shall follow the Acceptable Use Policy at ironstonedesign.com/legal/acceptable-use/.
8.2 Ironstone may remove a Preview, a Site or a Storefront, or suspend an Account, that breaches the Acceptable Use Policy, and shall state the reason by email.
9. Cancellation and termination
9.1 A Seller may cancel a Plan online at any time under the Cancellation Policy at ironstonedesign.com/legal/cancellation/.
9.2 Ironstone may end the Agreement on thirty (30) days’ notice by email, or at once for a serious or repeated breach. Client Sites stay live for thirty (30) days after an Account closes, so that each Client can move its content.
10. Warranties
10.1 Ironstone shall provide the Services with reasonable skill and care.
10.2 Ironstone makes no promise of search rankings, visitors, sales or income, and no statement on ironstonedesign.com is a promise of any result for a Seller or a Client.
11. Limitation of liability
11.1 To the extent the law allows, the total liability of Ironstone under the Agreement is limited to the fees the Seller paid to Ironstone in the twelve (12) months before the claim arose.
11.2 Ironstone is not liable for lost profits, lost data held outside the Services, or indirect loss.
12. Indemnity
12.1 The Seller shall indemnify Ironstone against claims arising from the Seller’s content, the Seller’s outreach, and the Seller’s dealings with Clients.
13. Changes to the Agreement
13.1 Ironstone may change the Agreement on thirty (30) days’ notice by email and in the changelog. A change to a Plan price applies from the first billing date after the notice period ends.
14. Governing law
14.1 The laws of the Province of Ontario and the federal laws of Canada that apply there govern the Agreement. The courts of Ontario sitting in Toronto have jurisdiction.
