1. Definitions
1.1 “Ironstone” means Ironstone Design, a sole proprietorship carrying on business in the Province of Ontario, Canada, reachable at contact@ironstonedesign.com.
1.2 “Seller” means a person or business that holds an Account and sells Sites to Clients through a Storefront.
1.3 “Client” means a business that buys a Site from a Seller.
1.4 “Account” means the seller account opened at app.ironstonedesign.com.
1.5 “Storefront” means the Seller’s public page on mysiteslive.com or on a domain connected to the Account, which carries the Seller’s name and prices.
1.6 “Site” means a website built from an Ironstone template for a Client and hosted by Ironstone.
1.7 “Preview” means an unlisted draft Site built for a business before that business becomes a Client.
1.8 “Plan” means one of the Free, Launch, Growth and Agency subscriptions published on the pricing page at ironstonedesign.com/pricing/.
1.9 “Site Fee” means the monthly fee Ironstone charges for each live Site: $15 for Simple, $25 for Advanced and $40 for Professional, per month, billed monthly. No Site Fee is charged during a Seller’s trial: a Site Fee begins on the later of the day the Site goes live and the first charge date of the trial (day 15).
1.10 “Services” means the Storefront, the templates, the builder, the hosting of Sites and Previews, the business lookup, the outreach tools and the billing that Ironstone provides.
1.11 “Client Payment” means a payment a Client makes for a Site through the Storefront checkout.
1.12 “Connected Account” means the Seller’s Stripe account, opened through the Account, into which Client Payments are paid.
2. The merchant of record
2.1 The Seller is the merchant of record for every Client Payment. The Seller’s name appears on the Client’s card statement and on the Client’s receipt.
2.2 The Seller sets the Client price, owns the Client relationship, and answers the Client’s questions, refunds and disputes.
2.3 A Client Payment requires an active Connected Account. Stripe verifies the Seller and applies Stripe’s own terms to the Connected Account.
3. Price floors
3.1 The monthly Client price for a Site shall be at least $39 for Simple, $59 for Advanced and $119 for Professional, each per month, billed monthly until the Client cancels.
4. Ironstone’s fee on each Client Payment
4.1 Ironstone’s fee on each Client Payment equals the Site Fee plus card processing of 2.9% of the payment plus 30¢. During the Seller’s trial the fee is card processing only, and the Site Fee joins it from the first charge date of the trial (day 15). Stripe deducts the fee before the transfer to the Connected Account.
4.2 Example: on a Simple Site at a Client price of $59 per month, billed monthly, the fee is $17.01 ($15 plus $2.01 of card processing), and the Seller receives $41.99.
4.3 Example: on a Professional Site at a Client price of $119 per month, billed monthly, the fee is $43.75 ($40 plus $3.75 of card processing), and the Seller receives $75.25.
4.4 The Plan fee is a separate charge to the Seller and is not deducted from Client Payments.
5. Payouts
5.1 Stripe pays the Seller’s balance weekly on Free, Launch and Growth, and daily on Agency, subject to Stripe’s verification and reserve rules.
6. Refunds and disputes
6.1 Within thirty (30) days of a Client’s first payment, the Seller may refund that payment in full from the dashboard. A full refund reverses the transfer to the Seller and returns Ironstone’s fee.
6.2 A dispute or chargeback is the Seller’s to answer. Ironstone may recover the disputed amount and Stripe’s dispute fee by reversing the matching transfer to the Connected Account.
7. Sites and Client continuity
7.1 Each Client Site stays live while its Site Fee is paid, including after the Seller’s Plan ends or moves to the Free Plan.
7.2 A Client may take down its own Preview in one click, and a Client that accepted its Site keeps its own domain registration.
8. Client non-payment
8.1 When a Client Payment fails, the Site stays live for fourteen (14) days while the payment is retried, and Ironstone sends the Client reminders in the Seller’s name on the day of the failure and on days three (3) and seven (7), and notice of the pause on day thirteen (13).
8.2 On day fourteen (14) the Site pauses and shows a short notice in the Seller’s name in place of its pages, unless the Seller has chosen to keep the Site live. A Site the Seller keeps live stays live, and its Site Fee is billed to the Seller from day fourteen (14) until the Client pays.
8.3 A payment by the Client restores a paused Site at once. Ironstone never holds the Client’s domain: its registration, its records and its connection stay the Client’s, and the Client may point it elsewhere at any time.
9. Representations to Clients
9.1 The Seller shall state every price with its term, shall make no promise of search rankings or income, and shall follow the Acceptable Use Policy.
9.2 On every Plan, the Storefront and the client login carry the Seller’s name and, where the Seller supplies one, the Seller’s logo. The Seller shall not present itself as Ironstone or as an agent of Ironstone.
10. Taxes
10.1 The Seller is responsible for the sales taxes on Client Payments and for reporting its own income. Ironstone’s fees appear on Stripe’s statements to the Seller.
11. Income
11.1 Ironstone makes no representation that a Seller will receive any amount. The earnings disclosure at ironstonedesign.com/legal/earnings-disclosure/ forms part of this agreement.
12. Term and termination
12.1 This agreement runs while the Account is open. Clauses 7, 9 and 10 of the Terms of Service apply to its termination.
